GENERAL PROVISIONS
These general terms and conditions of sale (hereinafter also the “GTC”) apply to the purchase of clothing products and accessories branded “A.C. Milan S.p.A.” (hereinafter, “Milan” or the “Seller”) (the “Products”) made by any natural person qualifying as a consumer (the “Customer”)—that is, a natural person who enters into a purchase contract (hereinafter the “Contract”) to satisfy needs unrelated to business or professional activity (pursuant to Part III, Title III, Chapter I of the Italian Consumer Code, Legislative Decree No. 206/2005)—on the e-commerce website store.acmilan.com (hereinafter the “Website”).
Milan reserves the right not to process orders from parties who do not fall within the legal definition of “consumer.” In any case, if the buyer does not qualify as a consumer, the Contract shall be governed by Italian law, excluding the Vienna Convention of 1980 on the International Sale of Goods.
The Customer acknowledges that:
- The Website is owned by A.C. Milan S.p.A., with registered office in Via Aldo Rossi 8, Milan (MI), Italy, share capital €113,443,200.00 fully paid, Tax Code and Registration Number with the Companies Register of Milan, Monza Brianza and Lodi: 01073200154;
- The sales process is managed directly by Milan, which entrusts logistics to Snatt Logistica S.P.A., with registered office in Campogine (RE), Via John Fitzgerald Kennedy 12/B, Tax Code and VAT number 02060420359 (“Snatt”);
- Orders may only be placed by individuals of legal age who are not legally incapacitated;
- The Contract is concluded in Italian. In case of discrepancies between translated versions, the Italian version prevails.
ARTICLE 1 – OBJECT AND CONCLUSION OF THE CONTRACT
Under these Terms and Conditions, the Seller offers for sale, and the Customer purchases remotely, the Products available on the Website at store.acmilan.com.
The Agreement is concluded exclusively via the Internet through the Customer's access to the Website, submission of a purchase order in accordance with the online procedure provided on the Website, and the Seller's acceptance thereof.
Purchases are governed by these Terms and Conditions, which the Customer is required to read and accept in full, without reservation. Before placing an order, the Customer undertakes to review these Terms and Conditions and all pre-contractual information made available on the Website.
The purchase order submitted by the Customer through the Website constitutes a contractual offer to purchase and is binding only upon the Customer. Milan reserves the right not to accept purchase orders that do not provide sufficient guarantees of solvency, are incomplete or inaccurate, or where the requested Products are unavailable. In such cases, Milan shall notify the Customer that the order has not been accepted.
In all other cases, the sales Agreement shall be deemed concluded when the Seller dispatches the Products to the Customer. The Customer will receive an order confirmation email containing the Customer's details, the order number, the purchase price of the Products, shipping costs, and the delivery address to which the Products will be sent. The Customer undertakes to verify the accuracy of the information contained therein and to promptly notify Milan of any corrections.
Once the order confirmation has been issued, the order may no longer be cancelled.
The order confirmation email will also contain a link enabling the Customer to download and store a copy of these Terms and Conditions, in accordance with Article 51(1) of Legislative Decree No. 206/2005, as amended by Legislative Decree No. 21/2014.
ARTICLE 2 – PRE-CONTRACTUAL INFORMATION FORTHE CUSTOMER - ART. 49 OF LEGISLATIVE DECREE 206/2005
Before entering into the Agreement, the Customer shall be provided with the main characteristics of the Products, as described on each Product page at the time of selection.
Prior to the conclusion of the purchase Agreement and before submitting the order, the Customer shall also be informed of:
- the identity of the Seller, as specified above;
- the total price of the Products, inclusive of taxes, together with details of shipping charges and any additional costs;
- the available payment methods;
- the time within which Snatt undertakes to deliver the Products;
- the conditions, time limits and procedures for exercising the right of withdrawal (Article 6 of these Terms and Conditions), including the standard withdrawal form referred to in Annex I, Part B of Legislative Decree No. 21/2014;
- the existence of the legal guarantee of conformity applicable to the purchased Products;
- any after-sales assistance services and commercial warranties, where applicable.
ARTICLE 3 – AVAILABILITY OF PRODUCTS
The availability of Products displayed on the Website reflects their actual availability at the time the Customer places an order. However, such availability should be considered indicative only, since multiple users may access the Website simultaneously and Products may therefore be purchased by other customers before the order is confirmed.
Where one or more Products included in an order become unavailable for reasons beyond Milan's control, the order shall be automatically amended by removing the unavailable Product(s). The Customer will be charged only for the available Products or, where a prepaid payment method has been used, will be contacted to provide the bank details required to process the refund for the unavailable Product(s).
Customers accessing a local version of the Website may purchase only those Products available for sale in the country corresponding to that version of the Website. Products purchased through a specific country version of the Website may only be delivered within the territory of that country.
ARTICLE 4 - PRICES AND PAYMENT METHODS
All Product prices displayed on the Website are expressed in the applicable local currency and include all taxes payable by the consumer.
Shipping costs are not included in the Product price. They are displayed and calculated during the checkout process before payment is completed.
The Seller accepts various payment methods, including, by way of example, credit cards, debit cards, PayPal and cash on delivery.
Where payment is made by credit card, the payment will be captured when the order is submitted. Should any issues arise, the Seller will process the appropriate refund.
All communications relating to payments and the information provided by the Customer during the payment process are transmitted through secure, encrypted channels. Credit card payment security is ensured through the TLS (Transport Layer Security) encrypted data transmission protocol.
The Customer may use promotional vouchers issued by Milan as part of promotional campaigns. Such vouchers may only be used in accordance with the terms specified therein, may not be applied retrospectively to previous purchases and may not be transferred to third parties. Multiple promotional vouchers cannot be combined for the same order. If, for any reason, including withdrawal or return by the Customer, the total value of the order falls below the value of the voucher used, Milan reserves the right to charge the original price of the Products retained by the Customer.
Payments may also be made using promotional vouchers, including the following:
Value Vouchers
Value Vouchers are personalised codes entitling the Customer to a fixed-value discount on purchases made through the Website.
The voucher code must be entered in the "Enter promotional code" field during checkout and applied to the order. The voucher applies to the entire order and may be used only once.
Value Vouchers cannot be exchanged for cash or combined with other vouchers on the same order. In the event of a return, the value of the voucher will not be refunded.
For technical reasons, Value Vouchers may only be redeemed on orders whose total value exceeds the voucher value by at least €1.
Discount Codes
Discount Codes are personalised codes entitling the Customer to a percentage discount on purchases made through the Website.
The code must be entered in the "Enter promotional code" field during checkout and applied to the order.
Each Discount Code may only be used once and cannot be combined with other promotional codes. Discount Codes are not refundable in the event of a return and cannot be applied to Products already subject to promotional pricing.
Gift Cards
The purchase of a Gift Card on store.acmilan.com provides the Customer with store credit equal to the value of the Gift Card, redeemable exclusively on store.acmilan.com.
Gift Cards are intangible products and are delivered electronically by email immediately after payment confirmation. The email contains a unique alphanumeric code that may only be redeemed through the official Milan online store.
Gift Card credit cannot be used in physical retail stores.
Gift Cards are valid for twelve (12) months from the date of issue. Any unused balance remaining after the expiry date cannot be refunded, transferred to another Gift Card or exchanged for cash.
Gift Cards are not rechargeable, may not be resold, exchanged for cash or transferred to another Gift Card.
The available balance may be used either in a single purchase or across multiple purchases. Where the Gift Card balance is insufficient to cover the total purchase amount, the remaining balance may be paid using any of the additional payment methods available on the Website.
Milan shall not be liable for any loss, theft or unauthorised use of the Gift Card code.
ARTICLE 5 – DELIVERY
Once the Products have been shipped, the Customer will receive a shipment confirmation email containing a tracking link that allows the delivery status to be monitored. Deliveries are generally made between 9:00 a.m. and 6:00 p.m., Monday through Friday.
Upon delivery, the Customer is required to inspect the package. If the package appears to have been tampered with or damaged, the Customer should accept the delivery subject to reservation (or refuse the delivery), and take photographs of both the package and its contents.
Customers who accept a damaged package subject to reservation must contact Milan Customer Care within 24 hours of delivery, indicating the order number and attaching photographs of the damaged package.
The Website also offers a Click & Collect service, allowing Customers to purchase Products online and collect them from a designated retail store or collection point.
To use this service, the Customer must select the "Collection" option during checkout. Once the order is ready for collection, the Customer will receive an email notification and will have six (6) days from that notification to collect the Products.
ARTICLE 6 – RIGHT OF WITHDRAWAL
Pursuant to Article 52 of Italian Legislative Decree No. 206 of 6 September 2005 (Italian Consumer Code), the Customer has the right to withdraw from the purchase within thirty (30) days from the date of receipt of the Products.
To exercise this right, the Customer must complete the online Return Request Form available in the "Returns and Refunds" section of the Website. The Products must be handed over to the designated courier within fourteen (14) days of submitting the online return request.
Returned Products must be shipped from the same country in which they were ordered and delivered.
Paper instructions explaining the return procedure are included with every order.
For technical and operational reasons related to the management and tracking of returns, which may involve a significant volume of requests, return requests submitted through procedures other than those described herein will not be accepted.
The Customer is required to follow the return instructions included in the package and published on the Website.
Products must be returned to Milan, at Snatt's warehouse address indicated on the prepaid return label, using exclusively the prepaid return label provided by email.
Should the Customer return the Products without using the prepaid return label and/or using a courier other than the one designated by Milan, all return shipping costs shall be borne entirely by the Customer. In such cases, Milan shall not be liable for any loss, theft or damage to the returned parcel and shall have no obligation to issue any refund.
Returned Products must be returned intact and unused. They must not have been worn, washed or otherwise used and must be returned in their original packaging, complete in all its parts, including price tags, original labels attached to the Product, packaging materials, accessories (where applicable) and the relevant fiscal documentation.
Subject to verification that the above conditions have been met, Milan will process the refund within a maximum of fourteen (14) days.
Refunds will be made using the same payment method originally used by the Customer. Where payment was made in cash, Customers wishing to exercise their right of withdrawal must provide their bank details (IBAN, SWIFT and BIC) through the "Contact Us" section of the Website to enable the refund to be processed.
The Customer shall be liable for any diminished value of the Products resulting from handling other than what is necessary to establish their nature, characteristics and functioning.
Accordingly, where returned Products show signs of damage (including, by way of example, wear, abrasions, scratches, missing labels or tags, deformation or similar defects), are incomplete, lack accessories, manuals, original packaging or, where applicable, warranty certificates, the Customer shall be responsible for the resulting reduction in value and shall only be entitled to a refund equal to the residual value of the returned Product.
Milan accepts no liability for Products returned in error or for personal belongings left inside returned parcels or Products.
Where a returned Product does not comply with the return requirements, Milan Customer Care will contact the Customer requesting further clarification. The Customer will have fourteen (14) days to respond. If no response is received within that period, the Seller reserves the right to dispose of the Product, and no refund shall be due.
Returns shipped after the permitted return period will not be accepted and will be sent back to the Customer.
Pursuant to Article 59 of Legislative Decree No. 21/2014, personalised Products cannot be returned or exchanged, without prejudice to the Customer's statutory rights under the legal guarantee of conformity.
ARTICLE 7 - LEGAL WARRANTY OF CONFORMITY – PROCEDURE FOR ITS USE
Pursuant to Directive 1999/44/EC and Italian Legislative Decree No. 206/2005 (the Italian Consumer Code), Milan guarantees that the Products are fit for the purposes for which goods of the same type are normally used, conform to the descriptions published on the Website and possess the qualities presented by Milan to the Customer.
Milan shall be liable for any lack of conformity existing at the time of delivery that becomes apparent within two (2) years from the date on which the Products are delivered to the Customer. Unless proven otherwise, any lack of conformity that becomes apparent within six (6) months of delivery shall be presumed to have existed at the time of delivery.
Upon receipt of the Products, the Customer is required to inspect them as soon as reasonably possible and, under penalty of forfeiture of this legal guarantee, must notify Milan of any defect or lack of conformity no later than two (2) months after its discovery. Notification must be submitted to Milan Customer Service using the dedicated form available on the Website, together with the completed claim form specifying the defect or lack of conformity in detail and including the documentation requested therein (including at least one photograph of the Product and the order confirmation issued by Milan).
Upon receipt of the claim form and supporting documentation, Snatt, acting on behalf of Milan, will assess the reported defect or lack of conformity and carry out the necessary quality checks to verify whether the Product is non-conforming. Following Milan's instructions, Snatt will determine whether the return of the Product should be authorised.
Authorisation to return a Product shall not constitute an acknowledgement that the reported defect or lack of conformity exists. Such determination will only be made after the returned Product has been inspected.
If, following inspection, the Product is found not to be covered by the legal guarantee, it will be made available to the Customer for collection.
Where a lack of conformity is confirmed, Milan will retain the Product and refund the purchase price. At Milan's discretion, the refund may also be issued in the form of a voucher redeemable exclusively on the Website.
Products authorised for return must be shipped by the Customer, together with a copy of the return authorisation, within fifteen (15) days from the date on which the defect or lack of conformity was reported, to the address communicated by Milan.
ARTICLE 8 - DELIVERY METHODS
Milan accepts orders for delivery within Italy and in the countries for which a local version of the Website is available.
Products shall be delivered by courier to the delivery address provided by the Customer when placing the order.
Orders are generally dispatched within three (3) to four (4) business days. In any event, delivery shall take place no later than thirty (30) days from the date on which the Customer receives the order confirmation email, in accordance with applicable law.
ARTICLE 9 - LIABILITY
Milan shall not be liable for any delay or failure to perform its obligations resulting from events of force majeure or unforeseen circumstances, including interruptions or malfunctions affecting the Internet or telecommunications networks, where such events prevent Milan from fulfilling orders within the timeframes set out in these Terms and Conditions.
Where the Customer exercises either the right of withdrawal or the legal guarantee of conformity, and the returned Products do not satisfy the conditions required under Articles 6 and 7 of these Terms and Conditions, the Seller may refuse to accept the return.
In such cases, the Customer may recover the Products at their own expense.
The Customer acknowledges and expressly agrees that, if the Products are not collected within thirty (30) days after Milan has notified the Customer that they are available for collection, Milan shall be entitled to dispose of the Products in accordance with applicable law.
ARTICLE 10 - FINAL CLAUSES
The Products are sold with the characteristics described on the Website and in accordance with the Terms and Conditions published on the Website at the time the Customer submits the order, to the exclusion of any other terms or conditions.
Milan reserves the right to amend these Terms and Conditions at any time and at its sole discretion, without prior notice to users of the Website. Any amendments shall become effective upon publication on the Website and shall apply exclusively to sales agreements concluded on or after the date of publication.
The prices, Products offered for sale on the Website and their respective characteristics are subject to change without prior notice. Before submitting a purchase order, Customers are invited to verify the final sale price displayed during the checkout process.
These Terms and Conditions constitute the entire agreement between the Seller and the Customer with respect to the sale of the Products.
Should any provision of these Terms and Conditions be held to be invalid, unlawful or unenforceable pursuant to applicable law, regulation or a decision of a court of competent jurisdiction, such provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect.
ARTICLE 11 - APPLICABLE LAW AND JURISDICTION
These Terms and Conditions shall be governed by and construed in accordance with the laws of Italy.
Nothing in these Terms and Conditions shall affect any mandatory rights granted to consumers under the applicable laws of their country of residence.
Any dispute arising out of or in connection with these Terms and Conditions that cannot be settled amicably shall be submitted to the non-exclusive jurisdiction of the Court of Milan.
Where the Customer qualifies as a consumer, they shall also have the right to bring proceedings before the competent courts of the Member State of the European Union in which they reside or are domiciled, where such right is provided under applicable law.
The Customer may also choose to resolve any dispute relating to the interpretation or performance of these Terms and Conditions through the mediation procedures provided for by Italian Legislative Decree No. 28/2010.
