GENERAL PROVISIONS

ARTICLE 1 – OBJECT AND CONCLUSION OF THE CONTRACT

These general terms and conditions of sale(hereinafter also "CGV") apply to the purchase of clothing andaccessories bearing the "A.C. Milan S.p.A." brand ("Milan")products (the "Products") made by any natural person qualifying as aconsumer (the "Customer") - that is, a natural person who enters intoa purchase contract (hereinafter referred to as the "Contract") forthe satisfaction of daily life needs unrelated to business or professionalactivity (in accordance with the provisions of Part III, Title III, Chapter I,of the Consumer Code, Legislative Decree no. 206/2005) - on the e-commercewebsite store.acmilan.com (hereinafter referred to as the "Site").Milan reserves the right not to process orders from subjects not falling withinthe legal definition of "consumer". In any case, if the buyer doesnot qualify as a consumer, the Contract will be governed by Italian law, withthe exclusion of the 1980 Vienna Convention on international sales of goods.The Customer acknowledges that:

  • the Site is owned by A.C. Milan S.p.A., with registered office at Via Aldo Rossi 8- Milan (MI) - Italy, Share Capital € 113,443,200.00 fully paid, Tax Code andregistration number with the Companies Register of Milan, Monza Brianza andLodi 01073200154;
  • the sale procedure of the Products is decided, carried out, and managed by Milan,which entrusts the logistics and final sale phase to the Customer, as amerchant of records, to Fanatics Italy S.r.l., with registered office in Milan(MI), Via Magistretti, 10, Tax Code and VAT number 11670080156; (hereinafterthe Seller)· orderscan only be placed by adults and those not under legal incapacity.
  • the language in which the Contract is concluded is Italian. In case of conflictbetween the versions of the CGV prepared in a language other than Italian andaccepted by the customer, the meaning and interpretation of the CGV in theItalian language prevail.


ARTICLE 2 – PRE-CONTRACTUAL INFORMATION FORTHE CUSTOMER - ART. 49 OF LEGISLATIVE DECREE 206/2005

Before concluding the Contract, the Customershall review the characteristics of the goods as described in the individualproduct sheets at the time of selection by the Customer. Before concluding thepurchase Contract and before sending the order, the Customer will be informedabout:

1. Identification of the Seller, as specified above;

2. Total price of the goods including taxes, with details of shipping costs and anyother costs;

3. Payment methods;

4. The deadline within which Fanatics undertakes to deliver the goods;

5. Conditions, terms, and procedures for exercising the right of withdrawal (art. 6 of theseterms), as well as the withdrawal form referred to in Annex I, part B ofLegislative Decree 21/2014;

6. Existence of the legal warranty of conformity for the purchased goods;

7. After-sales assistance conditions and commercial warranties provided.


ARTICLE 3 – AVAILABILITY OF PRODUCTS

The availability of the products indicated on the Site refers to the actual availability at the timethe Customer places the order. This availability should be consideredindicative because, due to the simultaneous presence of multiple users on the Site, the Products may be sold to other customers before the order is confirmed.

If the products subject to the order are not available due to reasons beyond Milan's control, the order will be automatically adjusted by eliminating the unavailable product and the Customerwill receive the adjusted charge or, if using prepaid systems, will becontacted to provide the necessary bank details for the refund of the unavailable product.

Customers accessing the localized Site will have access to the Products available for purchase in the country where the Site is located. Products purchased in a specific country can only be deliveredto the territory of that country.


ARTICLE 4 - PRICES AND PAYMENT METHODS

All selling prices of the products indicatedon the Site are expressed in local currency and inclusive of all taxes that arethe responsibility of the consumer.

Shipping costs are not included in the priceof the Products but are indicated and calculated at the time of completing thepurchase process and before payment is made.

The Seller accepts various payment methods,including, for example, credit card, debit card, PayPal, cash on delivery.

In the case of payment by credit card, the capture occurs at the time of submitting the order. In case of problems, theSeller will issue a refund.

Communications related to payment and thedata provided by the Customer at the time of payment occur on dedicated securelines. Payment security with a Credit Card is guaranteed through the encrypteddata transmission protocol TLS (Transport Layer Security).

The customer can use promotional vouchers offered by Milan as part of promotional campaigns for the purchase. These vouchers can only be used in accordance with the methods indicated on the vouchers themselves, cannot be used retroactively and/or transferred to third parties. Multiple promotional vouchers cannot be used for the same order. If for any reason, including due to the Customer's withdrawal or return, the totalvalue of the order is lower than the value of the voucher, Milan, through Fanatics, reserves the right to invoice the original price of the merchandise that remains in the Customer's possession.

Payments can also be made using Promotional vouchers. In particular, they can be used:

  • VOUCHERS FOR VALUE (in absolute amount): Value vouchersare personalized codes that allow you to receive a discount on purchases made on the Site. The voucher is applied to the entire order and can only be use donce. The value voucher cannot be converted into cash of an equivalent amount. Multiple vouchers cannot be used for the same order. In the case of return, it will not be refunded. For technical reasons, the value vouchercan only be used on orders exceeding the value of the voucher by at least 1euro.
  • DISCOUNT CODES: Discount codes are personalized codes that allow you to receive a percentage discount on purchases made on the Site. The promotional code can only be used once and cannot be combined with other promotional codes. In case of return, it will not be refunded. The discount code cannot be used for the purchase of products subject to promotion.
  • GIFT CARDS: Purchasing a gift card on store.acmilan.com allows you to acquire a spending credit equal to the value of the gift card,which can only be used on the official Milan online store. The gift card is anintangible asset, delivery is done virtually immediately after payment confirmation, via email containing the unique alphanumeric code redeemable only within the Milan official online store. The credit cannot be used at physical stores. The purchased gift card is valid for 1 year (12 months) from the date of issuance. On the expiration date, the remaining amount cannot be refunded,transferred to another gift card, or converted into cash. The gift card cannot be reloaded, resold, converted into cash, or transferred to another gift card. Define rules for any right of withdrawal. The gift card amount can be used in a single purchase or in multiple different purchases, in which case it will be possible to complete the order by adding the difference through an additional payment method among those available. We decline all responsibility for loss of the code linked to the gift card, theft, or unauthorized use.

ARTICLE 5 – DELIVERY

Following the shipment of the goods, the Customer will receive a shipping confirmation email with a link to click and track the delivery, which takes place between 9.00 and 18.00, from Monday to Friday.

Upon receipt, the Customer is responsible for examining the package upon delivery and if it is tampered with or damaged, they must accept it with a reservation (or refuse the package) and photograph the package and its contents.

Customers accepting the package with a reservation must contact only Milan's Customer Care within 24 hours of delivery, specifying the order number and attaching photos of the damaged package. The click & collect service is also available, allowing the Customer to purchase products online and pick them up at the store or other designated pickup points. Specifically, the Customer can choose the "Pickup" option during checkout. As soon as the order is ready for pickup, the Customer will receive an email notification and will have 6 days to collect the products from that moment.


ARTICLE 6 – RIGHT OF WITHDRAWAL

In accordance with art. 52 of Legislative Decree 06/09/2005 - No. 206, the Customer has 30 days from the receipt of the goods to exercise the right of withdrawal.
To exercise this right, the Customer must communicate it by filling out the Return form online in the "Returns and refunds" section. The delivery to the courier must take place within 14 days of completing the online return request.
The items to be returned must be shipped from the same country in which they were ordered and received.
Instructions in paper format for requesting returns are always included in the received package.
For technical management and tracking operations, which may involve a very high number of requests, returns not submitted according to the methods described will not be accepted.
It is the Customer's obligation to correctly follow the instructions contained in the package in which the goods were received - and indicated on the Site - for the return.
The goods must be sent back to Milan, at the Fanatics warehouses at the address indicated on the return label, using only the prepaid label that the Customer will receive via email. If the customer decides to return the item without using the prepaid label and/or with a different courier than the one indicated, the return costs will be entirely borne by the customer, and Milan will not be responsible for any loss or theft of the package and will not be required to issue any refund.
The merchandise must be returned intact, the products must not have been used, worn, washed, they must be returned in their original packaging, complete in all its parts (including price tag and tags unchanged and attached to the product, packaging material, and any accompanying documentation and accessories) and complete with the attached tax documentation.

Subject to the right to verify compliance with the aforementioned, Milan, through Fanatics, will refund the amount of the products subject to withdrawal within a maximum period of 14 days.

Milan will make the refund using the same payment method chosen by the Customer at the time of purchase. In case of payment made in cash, and if the Customer intends to exercise their right of withdrawal, they must provide Milan with the bank details: IBAN, SWIFT, and BIC necessary for the refund by accessing the contact us section.

The Customer is responsible for any decrease in the value of the goods resulting from handling other than that strictly necessary to establish the nature, characteristics, and functioning of the goods. Therefore, if the returned Products are damaged (e.g., signs of wear, abrasion, scratches, removal of tags, removal of pendants, deformations, etc.), not complete with all their elements and accessories (including unchanged labels and tags attached to the product), not accompanied by the attached instructions/notes/manuals, original packaging, and packaging, and the warranty certificate if present, the Customer will be liable for the reduction in the value of the goods and will be entitled to a refund of the amount equal to the residual value of the Product. Milan assumes no responsibility in the case of items mistakenly returned or items forgotten in the packages or returned items.

In case of non-conformity of the return, the Customer will be contacted by Milan's Customer Care for clarification. The customer has 14 days to respond to our requests. After this deadline without any response from the customer, the Seller will dispose of the item, and no refund will be allowed.
No return will be accepted if sent after the allowed date. Otherwise, the package will be returned to the Customer.

In accordance with art. 59 of Legislative Decree 21/2014, personalized items cannot be returned or replaced, except for the rights related to the product warranty.


ARTICLE 7 - LEGAL WARRANTY OF CONFORMITY – PROCEDURE FOR ITS USE

In compliance with European Directive 44/99/EC and Italian Legislative Decree no. 206/2005 (Consumer Code), Milan guarantees the Customer that the Products are suitable for the use for which goods of the same type are normally used and comply with the descriptions published on the Site and possess the qualities of the goods that Milan has presented to the Customer.

Milan is responsible, in case of non-conformity, for a period of 2 (two) years from the date of delivery of the Products to the Customer. It is presumed that non-conformity defects that occur within 6 months of the purchase of the goods existed at the time of delivery.

Upon receipt of the goods, the Customer shall inspect the Products as soon as possible and, in order to exercise this warranty, report any defects and non-conformities within 2 (two) months of discovery by transmitting to Milan's Customer Service, through the appropriate form published on the site, the correct return form with a precise indication of the defect and/or non-compliance found, as well as the relevant documentation indicated in the same return form (at least one photograph of the Product and the order confirmation sent by Milan).
Upon receipt of the form and related documentation, Fanatics, on behalf of Milan, will evaluate the defects and non-conformities reported by the Customer, and after conducting quality checks to verify the actual non-conformity of the Product, will decide, based on Milan's instructions, whether to authorize the return of the Products by providing the Customer with feedback via email to the address provided by the Customer during the Site registration process. The authorization to return the Products does not constitute recognition of defects or non-compliance, the existence of which must be subsequently ascertained upon return. If, following this assessment, the Products are found not to be covered by the warranty, they will be made available again to the Customer. If a conformity defect is found, Milan will keep the item and refund the Customer the price, also through a voucher redeemable only on the Site.

Products authorized for return by Milan must be returned by the Customer, along with a copy of the return authorization communication, within 15 (fifteen) days after reporting the defect or non-compliance, to the address indicated by Milan.

ARTICLE 8 - DELIVERY METHODS
Milan will only accept orders to be delivered to Italian territory and to the States where the Site is located. Products will be delivered by courier to the address provided by the Customer at the time of the order. Shipments will typically take place within 3/4 working days, subject to the maximum term of 30 days from the date the Customer receives the order confirmation email.


ARTICLE 9 - LIABILITY

Milan assumes no responsibility for services due to force majeure or unforeseen circumstances, including failures and malfunctions of the internet network, in case it fails to execute the order within the times provided by these CGV.

In both the case of exercising the right of withdrawal and the case of exercising the right of conformity guarantee, if the goods cannot be accepted by the Seller because they do not meet the requirements for exercising the rights under Articles 6 and 7 above, the Customer may retrieve the goods at their own expense. The Customer acknowledges and unconditionally accepts that, after 30 days from the communication of the availability to the Customer, Milan may proceed with the lawful disposal of the uncollected goods.


ARTICLE 10 - FINAL CLAUSES

The Products are sold with the characteristics described on the Site and according to the CGV published on the Site at the time of order submission by the Customer, to the exclusion of any other condition or term.

Milan reserves the right to modify these CGV at any time, at its discretion, without the need to provide any notice to the Site users. Any changes made will be effective from the date of publication on the Site and will apply solely to sales concluded from that date. Prices, Products for sale on the Site, and their features are subject to change without notice. Before submitting the purchase order, the Customer is encouraged to verify the final selling price.

These CGV constitute the entirety of the clauses that compose them. If one or more provisions of these CGV is considered invalid or declared to be so under the law, regulation, or by a court decision having jurisdiction, the other provisions will continue to have full force and effect.


ARTICLE 11 - APPLICABLE LAW AND JURISDICTION

These CGV are subject to Italian law. In any case, any rights attributed to consumers by mandatory provisions of the law applicable in their State will be preserved.

Any disputes that cannot be settled amicably will be subject to the non-exclusive jurisdiction of the Milan Court. As a consumer, the Customer also has the option to resort to the courts of the member State of the European Union where they reside or have their domicile.

The Customer can also optionally use the mediation procedures provided for in Legislative Decree 28/2010, for the resolution of any disputes arising in the interpretation and execution of these sales conditions by accessing the following website: https://webgate.ec.europa.eu/odr.
